If You do not accept these Terms of Use, do not use the Website. By using this Website, you represent that you are of legal age to form a binding contract with RuleSphere International, Inc. and the associated businesses and brands known as The GRC Sphere, and www.RuleSphere.com.

RuleSphere may modify all or any part of these Terms of Use from time to time and may not provide an update notification to You. Thus, You are encouraged to check back often so that You are aware of your current rights and responsibilities. Your continued use of this Website after changes to the Terms of Use have been published constitutes your binding acceptance of the updated Terms of Use. If at any time the Terms of Use are no longer acceptable to You, You should immediately cease all use of this Website.

1. Statement of Purpose. The purpose of The RuleSphere website is to enable individuals, groups, communities, and companies to collaborate on Governance Risk and Compliance (GRC) activities which includes educational activities and other collaborative features and functions including product development, service development, and virtual / face-to-face meetings and events on the website as well as at any of our member locations. The process of collaboration includes use of Software-as-a-Service (SaaS) tools and technologies that assist our users (subscribers) in the management and exchange of information. The site is designed to allow subscribers to use an array of collaborative tools which help subscribers to build “Communities-of-Interest” (CoI's) and "Communities-of-Practice" (CoP's). By doing so, they are able to share information, ideas, and news relating to a specific GRC topic. In exchange we charge a reasonable subscription fee that allows us to provide the community with tools and information access that would not be possible otherwise. By providing a collaborative and networked environment (referred to as a Professionals' Networked Community or PNC platform), we can assist GRC communities in building their organization, documenting their educational materials, disseminating knowledge about their GRC community, and generally enabling the community to create a collaborative support ecosystem that is composed of mentors, consultants, educators, sponsors / patrons, customers and benefactors. In essence, a GRC community can reach across time and space to find other individuals with similar interests and business goals no matter where they may exist around the globe. Our hope is that the site is accessible and welcoming in order to broaden the GRC support ecosystem, enhance understanding, refine collaboration strategies, document knowledge, disseminate education and training, and promote GRC best practices and many other GRC-related topics, products and services. We welcome you and wish you success in building your own GRC community of interest or helping others in building theirs and helping your organization to build or participate with one or more GRC support ecosystems.

• You may not restrict or inhibit any other user from using or enjoying this Website, for example, by cracking, spoofing, defacing, or impairing functionality.

• You may not post political campaign materials, chain letters, mass mailings or spam of any kind.

You are solely responsible for the content that You provide.  RuleSphere and our members and partner sites and web properties have the right, but not the duty, to pre-screen, refuse, edit, move or remove any content that violates these Terms of Use or that is unlawful. These organizations may close comments if, in its sole discretion, the comments are no longer on topic, the commenting has devolved to personal attacks, or the Hitler card is played. These organizations have the further right to limit or terminate Your registration with, or access to, the Website (which may include termination of access by anyone at your IP address) for breach of these Terms or Use or for conduct that, in these organizations' sole discretion, subjects their businesses to unreasonable legal risk.

4. User Registration. Registration at www.RuleSphere.com is optional but encouraged. If you are registered, RuleSphere will be able to contact you with information that may be relevant to users, the registration will facilitate the attribution of Your work to You, and will allow us to contact you if we receive a Notice of Claimed Infringement for content you have provided so that you will have an opportunity to provide a Counter-Notification.

You may not select a user name that impersonates some other person or business, is or may be unlawful, is protected by trademark or other proprietary rights, is vulgar or offensive, or may cause confusion. You agree not to sell or transfer your use of or access to this Website or permit anyone else whose account was suspended or terminated to use this Website through your user name or password. You are responsible for maintaining the confidentiality of your password and account and for all activity that occurs on your account. RuleSphere reserves the right to reject or remove any user name that does not meet these requirements or that is used in breach of these Terms of Use.

5. Responsibilities of RuleSphere Employees. RuleSphere employees who choose to participate must register, must use their RuleSphere email address for registration, and may only participate using their registered identity.

6. Trademarks. The trademarks, logos and service marks ("Marks") displayed on this Website are the property of RuleSphere and The GRC Sphere or other parties. You may not use RuleSphere and The GRC Sphere Marks or any confusingly similar mark as a trademark for your product or services, or use the trademark in any other manner that might cause confusion in the marketplace, including but not limited to in advertising, on auction sites, or on software or hardware.

7. The RuleSphere License to You.  RuleSphere either owns the copyright in the HTML, text, images, audio, video, software or other content that is made available on the Website, has used reasonable efforts to obtain permission of the owner of the copyright to make it available on this Website, or has otherwise determined that the content is available for use on the Website. 12. International Issues.  RuleSphere administers this Website from a number of North American locations including Still River and Harvard in the Commonwealth of Massachusetts. RuleSphere makes no representation that this Website is appropriate or available for use outside of the United States and access to this Website from territories where its contents are illegal or restricted is prohibited. If you choose to access this Website from outside the United States, you do so on your own initiative and are responsible for compliance with applicable local laws.

16. Jurisdiction. These Terms of Use and all claims relating to the relationship between the parties are governed by Federal laws and the laws of the Commonwealth of Massachusetts, U.S.A. without regard to choice of law provisions. You and RuleSphere agree to submit to the jurisdiction of the state courts located within Worcester County, Commonwealth of Massachusetts and to the jurisdiction of the federal courts located in the District Court for the Commonwealth of Massachusetts.

17. Waiver and Severability. RuleSphere’s failure to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision. If one or more of the provisions contained in this Agreement is held invalid, illegal or unenforceable in any respect by any court of competent jurisdiction, such holding will not impair the validity, legality, or enforceability of the remaining provisions.

18. No Third Party Beneficiary. These Terms of Use do not confer any third-party beneficiary rights.

19. Entire Agreement. These Terms of Use supersede all previous agreements, understandings, and arrangements between the parties, whether oral or written, and constitutes the entire agreement between the parties regarding the subject matter herein.

20. Language. These Terms of Use are in the English language only, which language shall be controlling in all respects, and all versions of this Agreement in any other language shall be for accommodation only and shall not be binding.

21. Section Headings. The section heading of these Terms of Use are for convenience only and have no legal or contractual effect.

22. Notice and Procedure for Making Claims of Copyright Infringement. 
If you believe that your work has been copied in a way that constitutes copyright infringement, please provide the following information in writing to RuleSphere's designated copyright agent listed below:

i. A physical or electronic (scanned) signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. 

ii. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site. 

iii. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit the service provider to locate the material. 

iv. Information reasonably sufficient to permit RuleSphere to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted. 

v. A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law. 

vi. A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
